MICard Terms of Service

PLEASE READ THESE TERMS CAREFULLY. THEY FORM A BINDING LEGAL AGREEMENT.
1. Introduction and Our Agreement
Welcome to MICard. These Terms of Service ("Terms") govern your access to and use of the MICard platform, including our MIPass vault, ReX browser extension and MICard SSO service (collectively, the "Services").
These Terms form a legally binding contract between you ("you", "the user") and MICard Industries Ltd, a company registered in England and Wales (Company Number: 16325430) with its registered office at 40 Shirdley Road, Eynesbury, St Neots, Cambs, UK, PE19 2DR ("MICard", "we", "us").
By creating an account or using our Services, you confirm that you accept these Terms and our Privacy Policy, which is incorporated by reference into this agreement. If you do not agree to these Terms, you must not use our Services.
2. Eligibility to Use Our Services
To create a MICard account and use our Services, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into a binding contract.
- Be the legal owner of any data you add to your account, or have the explicit legal authority to manage it on behalf of another person (for example, as a parent or legal guardian for a child's profile).
You are responsible for ensuring that your use of the Services complies with all laws applicable to you.
3. Your Account Security and Responsibilities
You are responsible for all activities that occur under your account. You agree to:
- Provide accurate, current and complete information during the registration process.
- Keep your account credentials (such as your password and recovery keys) confidential and secure. Do not share them with any third party.
- Notify us immediately at security@thisismicard.com if you suspect any unauthorised access to or use of your account.
4. The MICard Service
Our Services are provided with reasonable skill and care, as required by the Consumer Rights Act 2015. We grant you a limited, non-exclusive, revocable licence to use our Services for your personal, non-commercial use in accordance with these Terms.
The Services allow you to:
- Securely store, manage and control your personal data within your MIPass vault.
- Use MICard SSO and ReX to grant trusted third-party services permission to access specific parts of your data for defined purposes.
- Receive and manage data shared back to you from those services.
- Maintain a clear, auditable log of all data sharing permissions you have granted.
You, and only you, decide what data to share, who to share it with and when to revoke access.
5. Your Data and Ownership
You retain full ownership of the personal data you store in your MIPass vault at all times. Our permissions to use that data are strictly limited to what is necessary to provide the Services to you, as detailed in our Privacy Policy.
We will never use your personal data for research or commercial purposes without your explicit, opt-in consent. Any options to participate in such programmes will be clearly presented to you, and you will be required to take a positive action to agree. You can manage and withdraw these consents at any time in your account settings without affecting the core Services.
6. Acceptable Use of the Services
You must not use the Services for any unlawful or prohibited purpose. You agree not to:
- Provide false or misleading information or impersonate any person or entity.
- Attempt to gain unauthorised access to any part of our platform, or to any other user's account.
- Reverse-engineer, decompile or otherwise attempt to discover the source code of our software.
- Use the Services to distribute spam, malware or other malicious code.
- Use the Services in any manner that could damage, disable, overburden or impair our servers or networks.
A breach of these rules may result in the immediate suspension or termination of your account.
7. Third-Party Services
The Services are designed to interact with third-party websites, applications and services. When you choose to share your data with a third party, you do so at your own risk.
Those third parties operate under their own terms of service and privacy policies. We are not responsible for their practices, security or how they use your data. We strongly recommend you review their policies before granting them access to your information.
8. Intellectual Property
All intellectual property rights in the Services, including the software, design, text, graphics and branding, are owned by or licensed to MICard Industries Ltd. These Terms do not grant you any rights to our intellectual property except for the limited licence to use the Services as described in Section 4.
9. Service Availability and Maintenance
We strive to ensure the Services are available 24/7. However, we do not guarantee uninterrupted access. We may need to perform scheduled or emergency maintenance, carry out security updates or restrict access to comply with legal obligations. Where possible, we will provide you with advance notice of any significant planned downtime. We are not liable for any disruption caused by factors beyond our reasonable control.
10. Limitation of Liability
This section is important and affects your legal rights.
We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any breach of your statutory rights under the Consumer Rights Act 2015 (such as providing the service with reasonable skill and care).
To the fullest extent permitted by law, we shall not be liable for any indirect or consequential losses, including any loss of profit, loss of business, business interruption or loss of business opportunity.
Our total aggregate liability to you for any other loss or damage arising under or in connection with these Terms shall be limited to the greater of: (a) £250 (two hundred and fifty pounds sterling); or (b) The total fees (if any) paid by you to us in the 12 months preceding the event giving rise to the claim.
This limitation is a fair reflection of the risks, given that the core service is provided free of charge and you remain in control of your data.
11. Termination
Your Right to Terminate: You can terminate this agreement at any time by closing your account via the settings menu. This action is irreversible and will result in the permanent deletion of your data in accordance with our Privacy Policy.
Our Right to Terminate: We may suspend or terminate your account and your access to the Services if:
- You materially breach these Terms.
- Your use of the Services poses a security risk to the platform or other users.
- We are required to do so by law.
We will provide you with reasonable notice of termination where practicable.
12. Changes to These Terms
We may amend these Terms from time to time to reflect changes in our Services or the law. If we make material changes, we will notify you by email or through an in-app notification at least 30 days before the changes take effect.
By continuing to use the Services after the changes become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you should close your account before they take effect.
13. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of them, shall be governed by and construed in accordance with the law of England and Wales.
The courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim.
